1. Platform Scope & Service
OmniBook is a universal booking engine providing modular scheduling, billing, and peer-to-peer (P2P) resale marketplaces for resources, appointments, and time-slots. By registering, you agree to comply with all platform rules.
2. Peer-to-Peer Resale & Anti-Scalping Policies
To maintain a fair ecosystem and prevent ticket scalping:
- All resale listings are capped at their original face value. Markup pricing is strictly blocked.
- Slots cannot be listed for resale within 2 hours of the scheduled start time (Time-Horizon Lock).
- A 10% platform commission is automatically deducted from secondary marketplace transactions.
3. Cancellation & Refund Rules
- Moderate Policy: Cancellations made > 72 hours prior to the slot receive a 100% refund. Cancellations within 72 hours are non-refundable but can be resold on the marketplace.
- Strict Policy: All confirmed bookings are non-refundable but are immediately eligible for resale.
- Provider-Fault Cancellations: If a provider cancels due to operational issues, the customer is fully refunded and all platform commissions are reversed.
4. B2B Subscription Billing for Partners
Facility owners agree to pay a monthly subscription fee based on capacity:
- Single Facility: Charged at the base hourly rate.
- Multiple Sub-Facilities: Charged as the sum of hourly rates, capped at 3x the highest sub-facility rate.
5. Limitation of Liability & Warranty Disclaimer
OmniBook provides the platform "as is" and "as available." We do not warrant that the service will be uninterrupted or error-free. Under no circumstances shall OmniBook be liable for any direct, indirect, incidental, or consequential damages (including lost profits, data loss, or physical injury at a partner facility) arising out of your use of the platform.
6. Independent Service Providers
All facility owners and partners listed on OmniBook are independent businesses and contractors, not employees or agents of OmniBook. OmniBook is not responsible for the quality, safety, legality, or execution of services provided by partners.
7. Indemnification
You agree to defend, indemnify, and hold harmless OmniBook and its affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from your breach of this agreement or your actions on the platform.
8. Governing Law & Dispute Resolution
This agreement shall be governed by and construed in accordance with the laws of your platform's registered jurisdiction. Any dispute arising out of or relating to this agreement shall be settled through binding arbitration rather than class action lawsuits.
